These Terms of Service ("Terms") govern your use of the website gibson.services and any services provided by Gibson Business Services ("we," "us," or "our"), including our fractional operations support services. By using our website or engaging our services, you agree to these Terms.

If a written service agreement exists, that agreement governs in the event of any conflict with these Terms.

1. Services

We provide fractional operations support and analysis, typically on a reserved basis of 1–3 days per week (or equivalent hours) of remote support. The client directs that time toward operational work within their business (e.g., systems, reporting, job costing, process, data, automation). The structure, scheduling, and billing for reserved time are governed by the applicable service agreement between the parties.

Fees, payment terms, and billing cycles will be specified in your service agreement. Unless otherwise agreed, fees are due as set forth in that agreement. We may suspend or terminate services for non-payment.

4. Refund and Dispute Policy

Refunds: All fees paid are non-refundable. We do not provide refunds for any portion of fees paid, including for unused time, partial periods, or after cancellation.

Disputes: We will work with you in good faith to resolve any dispute informally (e.g., by email or phone). If we cannot resolve it within a reasonable time, the dispute will be governed by the law and venue set out in these Terms. Disputes will be resolved in the State of California, and you agree to that jurisdiction for any legal action. This approach is intended to provide a clear, efficient process for both parties.

5. Cancellation Policy

Engagements are month-to-month. Either party may cancel by giving written notice (e.g., by email to tom@gibson.services). A minimum of two (2) weeks’ notice is required before the intended cancellation date. Until that notice period has elapsed, the client remains responsible for fees for the current period. No refunds will be made for any prepaid or unused portion of the current or any prior period. We may also suspend or terminate services for non-payment or breach of these Terms.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with the services. This does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Intellectual Property

You retain ownership of your business information and data. Work product we create specifically for you—including reports, spreadsheets, dashboards, documentation, and other deliverables produced in the course of the engagement—belongs to you. You may use it for your business without restriction. We retain ownership only of our general methods, processes, and tools that we use across clients, not the custom work we build for you.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to the services shall not exceed the fees paid by you for the services in the thirty (30) days preceding the claim, unless otherwise specified in the written service agreement. We are not liable for any indirect, incidental, special, or consequential damages.

9. Term and Termination

These Terms apply until terminated. Either party may terminate in accordance with the Cancellation Policy above. Sections that by their nature should survive (including confidentiality, limitation of liability, refund and dispute policy, and governing law) will survive termination.

10. Changes

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of the State of California, and you consent to personal jurisdiction and venue therein.
